Welcome to Omini Box Store. These Terms & Conditions (the "Terms") govern your access to and use of www.ominibox.shop, our storefront, checkout, product pages, content, and related services (collectively, the "Services"). The Services are operated by CALM SPARK LTD, Company No. 16313151, registered office 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom ("Omini Box", "we", "us", or "our").

By using the Services or placing an order, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services. Nothing in these Terms limits any mandatory consumer rights that cannot legally be excluded.

1. Eligibility and accounts

You must be at least the age of majority in your jurisdiction to purchase products from us. If you create or use an account, you are responsible for keeping your login credentials secure and for all activity under your account. You agree to provide accurate, current, and complete information when using checkout, support, or account features.

2. Products and compatibility

We make reasonable efforts to describe Omini Box products, specifications, prices, images, compatibility notes, and availability accurately. Product colors, appearance, packaging, software interfaces, performance, and supported features may vary by device settings, production batch, region, firmware, third-party apps, and software updates.

Z Box and related products may support Android, Android TV, emulation tools, compatibility layers, streaming services, controllers, keyboards, mice, and other third-party software or ecosystems. Third-party services, games, ROMs, BIOS files, apps, stores, subscriptions, accounts, licenses, certifications, and online features are controlled by their respective owners. You are responsible for using only software, games, files, and content that you lawfully own or are authorized to use.

3. Orders and acceptance

When you place an order, you make an offer to purchase the selected products. We may accept, reject, cancel, or limit an order where reasonably necessary, including for suspected fraud, pricing or inventory errors, shipping restrictions, payment failure, export or customs restrictions, or other operational reasons. An order is accepted when we confirm acceptance or dispatch the goods.

Please review your order before submitting it. If we need to cancel or materially change an order, we will contact you using the email address, billing details, shipping details, or phone number supplied at checkout where practicable.

4. Prices, taxes, duties, and promotions

Prices, discounts, and promotions may change without notice. Unless stated otherwise, posted product prices do not include shipping charges, remote-area surcharges, customs duties, import VAT, local taxes, brokerage fees, or similar charges. You are responsible for import duties, customs charges, and local taxes assessed by your destination country, except where the checkout or applicable law states otherwise.

Promotional offers may have additional terms. If those promotional terms conflict with these Terms, the promotional terms apply only to that promotion.

5. Payment, pre-orders, deposits, and balance payments

Checkout may be processed through payment providers such as Stripe and PayPal. You agree to provide accurate payment and billing information and confirm that you are authorized to use the selected payment method. We do not intentionally store complete card numbers on our own systems.

Some products may be sold as pre-orders, deposits, or partial-payment orders. If a product page or checkout describes a deposit, the deposit secures your order but does not necessarily represent the full purchase price. We may request the remaining balance before fulfillment. Orders requiring a balance payment may not be shipped until the balance has been paid in full.

6. Shipping and delivery

Products may ship from China or another fulfillment location selected by us. Shipping options may include 4PX Standard Shipping or other carriers. Delivery times are estimates and can be affected by stock availability, customs clearance, carrier delays, remote-area handling, local holidays, weather, or events outside our reasonable control.

If we cannot ship within the stated or legally required timeframe, we will provide the notices and options required by applicable law, which may include consenting to a delay or cancelling the affected order for a refund. Once an order has shipped, delivery-address changes may not be possible.

7. Returns, refunds, and statutory rights

Returns and refunds are governed by our Return & Refund Policy and any mandatory rights that apply in your country or region. EU and UK consumers may have statutory cancellation rights for eligible distance purchases. Nothing in these Terms excludes rights that cannot legally be excluded, including rights relating to faulty, misdescribed, or non-conforming goods.

8. Acceptable use

You may use the Services only for lawful purposes. You must not misuse the site, interfere with security features, submit false or misleading information, scrape or harvest personal information, upload malicious code, infringe intellectual property rights, resell products in violation of applicable restrictions, or use the Services in a way that may harm Omini Box, other users, service providers, or third parties.

9. Intellectual property

The Services, including text, graphics, logos, product content, images, interface design, software elements, and other materials, are owned by us, our affiliates, or our licensors and are protected by intellectual-property laws. You may access the Services for personal, non-commercial use. You may not copy, modify, distribute, display, sell, or exploit any part of the Services without our prior written permission except as permitted by law.

10. Third-party services and links

The Services may include links, integrations, embedded media, payment tools, analytics, anti-abuse services, shipping tools, or other third-party services. These third parties are not controlled by us and may have their own terms and privacy policies. We are not responsible for third-party websites, software, games, services, content, or policies.

11. Feedback and user submissions

If you send us ideas, reviews, suggestions, or other feedback, you grant us a worldwide, royalty-free, sublicensable license to use that feedback for operating, improving, and promoting our products and Services. You are responsible for ensuring that your submissions are lawful and do not infringe third-party rights.

12. Errors and availability

We may correct errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, shipping charges, delivery estimates, taxes, availability, or other information. We may update, suspend, or discontinue any part of the Services or any product at any time, subject to obligations that apply to accepted orders and mandatory consumer laws.

13. Disclaimer of warranties

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, uninterrupted operation, and error-free operation. This disclaimer does not affect any mandatory warranty or consumer guarantee that applies to your purchase.

14. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, loss of data, business interruption, or replacement costs arising from your use of the Services or products. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any liability that cannot legally be limited.

15. Indemnity

You agree to indemnify and hold harmless Omini Box, CALM SPARK LTD, and our directors, officers, employees, contractors, service providers, and affiliates from claims, losses, liabilities, damages, costs, and expenses arising from your breach of these Terms, unlawful use of the Services, infringement of third-party rights, or misuse of products or software.

16. Termination

We may suspend or terminate access to the Services if we reasonably believe you have breached these Terms, created risk for us or others, or used the Services unlawfully. Provisions that by their nature should survive termination will continue to apply.

17. Governing law

These Terms are governed by the laws of England and Wales, except where mandatory consumer laws in your country or region provide otherwise. The courts of England and Wales will have non-exclusive jurisdiction, subject to any mandatory rights you may have to bring claims in your local courts.

18. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised date. Material changes will apply as required by applicable law.
